Cryptfluencers NFT License and Terms of Use
 


1. Introduction
The Cryptfluencers NFT collection (the “Collection”) is an artistic, satirical project designed for entertainment purposes only. The NFTs in the Collection are purely fictional, intended to provide commentary on common occurrences and figures in the cryptocurrency space. Any resemblance to actual persons, living or dead, or real events is coincidental and used purely for artistic and satirical purposes. Purchasing an NFT from the Collection entitles the purchaser (the “Owner”) to the rights and privileges outlined in these License and Terms of Use (the “Terms”). By purchasing, owning, or transferring any NFTs in the Collection, you agree to abide by these Terms, which may be modified by the creators of Cryptfluencers at any time.


2. Scope of License
Upon purchasing an NFT, the Owner is granted a non-exclusive, royalty-free, worldwide, fully paid-up, and irrevocable license to the associated digital artwork under the following terms and conditions: Display and Share Rights: The Owner has the right to display, share, trade, and use the NFT, both for personal and commercial purposes, provided that it is not modified or altered in any way (referred to as maintaining the “Original State”). Non-Commercial and Commercial Usage: The Owner may use the NFT for non-commercial purposes (e.g., displaying it in digital galleries, using it as a profile picture), and commercial purposes (e.g., merchandising, creating content around the NFT), as long as the NFT remains in its Original State and such use complies with all restrictions outlined in Section 3. Resale Rights: The Owner may freely sell or transfer the NFT on any third-party platform, subject to applicable platform policies and smart contract obligations, without restrictions imposed by Cryptfluencers.


3. Restrictions on Use
While the Owner has broad rights to use the NFT, the following restrictions apply:
No Alteration of Artwork: The NFT must be used in its Original State. Owners are prohibited
from altering the artwork or creating derivative works based on the NFT. No Hate Speech or Harmful Conduct: The NFT may not be used in any context that promotes hate speech, violence, or any form of harmful, discriminatory, or defamatory conduct. The satirical intent of the Collection does not extend to the promotion of real-world harm. No Illegal or Fraudulent Use: The NFT may not be used for any illegal activities, including fraud, theft, or violations of intellectual property law. Use as Intended: The NFT must be used in a manner consistent with its satirical purpose. Misrepresenting the NFT as anything other than satire, especially in contexts where it might be taken seriously or in a harmful way, is strictly prohibited. Any violations of these restrictions may result in the immediate termination of the Owner’s rights (see Section 7).


4. Disclaimer of Association & Satire Protection
The Cryptfluencers NFT Collection is explicitly a work of satire, created for the purpose of commentary and entertainment. Much like popular satirical media, including shows like South
Park, Cryptfluencers adopts exaggerated representations of cryptocurrency influencers, scams, and events as part of its creative expression. No Affiliation or Endorsement: The NFTs are fictional and are not endorsed, associated with, or representative of any real-world person, business, or organization. The creators disclaim any liability for likenesses that may appear similar to real individuals or events. Legal Protection for Satire: As a satire, this project is protected under fair use and free speech laws. No claims or assertions of factual events are being made, and all characters or situations depicted in the NFTs are intended to provide humor and social commentary.


5. Ownership of Intellectual Property
The creators of Cryptfluencers retain all rights, title, and interest in the underlying intellectual property (IP) associated with the artwork. Ownership of an NFT grants you ownership of the token itself, but not of the underlying IP or copyright. No Transfer of IP Rights: The Owner is granted rights to use and display the NFT as outlined in Section 2, but the IP, trademarks, and copyrights remain with the creators. The Owner may not claim ownership of the underlying IP. License for Commercial Use: While Owners may use the NFT commercially (subject to the restrictions in Section 3), this does not grant the Owner the right to modify or alter the NFT in any way.


6. Liability Limitation and Warranty Disclaimer
By purchasing or owning an NFT, you agree to the following: No Warranties: The NFTs and associated artwork are provided "as is," with no warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Limitation of Liability: Cryptfluencers, its creators, and affiliated parties shall not be liable for any indirect, incidental, consequential, or special damages arising from the ownership, use, or transfer of the NFTs, including claims based on infringement, defamation, or other legal issues related to the satirical content of the NFTs.


7. Termination of License
The creators of Cryptfluencers reserve the right to terminate the Owner’s rights in the event of a breach of these Terms, particularly if the Owner uses the NFT in violation of these restrictions or engages in harmful conduct. Upon termination: The Owner will immediately cease all use of the NFT. All rights to display or share the NFT are forfeited. Any further transfer of the NFT will be restricted under smart contract provisions where applicable.


8. Resale, Royalties & Blockchain Considerations
Resale of the NFT is permitted without restriction, subject to any platform-specific terms,
including smart contract provisions. Royalties: Depending on the blockchain where the NFT is minted, royalties may or may not be automatically included in the smart contract. By purchasing or reselling the NFT, you agree to comply with any royalty terms associated with the specific blockchain or platform used.


9. Amendments & Modifications
Cryptfluencers reserves the right to amend or modify these Terms at any time. Any changes will take effect upon publication on the official project website or other authorized distribution channels. Continued ownership or use of the NFT after such modifications constitutes acceptance of the updated Terms.


10. Governing Law
These Terms and any disputes arising hereunder will be governed by and construed in
accordance with the laws of [Chosen Jurisdiction], without regard to conflicts of law principles.
Any legal action or proceeding relating to these Terms shall be brought exclusively in courts
located within [Chosen Jurisdiction].


11. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, the remaining provisions will remain valid and enforceable to the maximum extent permitted by law.
